Article II
Meetings
Section 1. Annual Meeting. The annual meeting of the Club shall be
held in the month of March, April or May in conjunction with the Club's
National Specialty if possible, at a place, date and hour designated by
the Board of Directors. Notice of the annual meeting will be published
in the Club's newsletter at least 30 days prior to the date of the
meeting. The quorum for the annual meeting shall be 10% of the members
in good standing.
Section 2. Special Club meetings. Special club meetings may be called
by the President or by majority vote of the members of the Board who are
present at a meeting of the Board or who vote by mail; and shall be
called by the Secretary upon receipt of a petition signed by 10% of the
members of the club who are in good standing.
Section 3. Board meetings. The first meeting of the Board shall be
held in January, after the elected Officers and Directors take office on
January 1st as stated in Article IV, Section 1.. Meetings of the Board
of Directors shall be held at such times and places as are designated by
the President or by majority of the entire board. Written notice of each
such other meeting shall be prior to the date of the meeting. The quorum
for a Board meeting shall be a majority of the Board voting in person or
by mail. Telephone conference calls may be used as Board meetings.
Meeting notice shall be by US Mail or electronic mail sent by the
Secretary to each member of the Board at least 14 days prior to the date
of the meeting. The quorum for a board meeting shall be a majority of
the Board present. Officers and Directors missing two or more meetings
or teleconference calls (designated as a Board meeting) in a year
without proper notification to any board member or without due cause,
will be subject to removal from office and replacement as per Article
III, Section 3.
Section 4. The Board of Directors may conduct its business by mail
through the Secretary, telephone, or fax machine. Items voted upon by
telephone conference call must be confirmed in writing within 7 days.
